1. Who we are and what these terms cover
These Terms of Service (the "Terms") form a binding agreement between you (the "Customer") and Borrowsignal ("we", "us") for use of the Borrowsignal service (the "Service") — including this website, the customer dashboard, daily lead deliveries, and any APIs.
By signing up for a free pilot, paid subscription, or by accepting delivery of leads, you accept these Terms.
2. The Service — what we deliver
The Service delivers data records about newly-incorporated UK companies (each, a "Lead") to a destination of your choice (CSV email, Google Sheet, CRM webhook, or REST API depending on tier). Each Lead is sourced from the official UK Companies House public registry and enriched with publicly-available contact information and an AI-generated outreach hook.
Delivery cadence, volume and feature set are set by your subscription tier as published on our pricing page. We may improve the Service at any time; we will not materially reduce features of an active subscription mid-period without giving you 30 days' notice and a pro-rated refund option.
3. Free pilot
We offer a 7-day free pilot: up to 20 Leads per day delivered to your nominated channel, no credit card required. The pilot ends automatically after 7 days unless you start a paid subscription. We may decline or terminate a pilot at our discretion if we suspect the email address is not a genuine UK lender prospect (e.g. obvious disposable-domain abuse).
4. Subscriptions, billing and cancellation
- Billing cycle. Subscriptions are billed monthly in advance via our payments processor, Dodo Payments.
- Prices. Current prices are published at borrowsignal.com/#pricing in GBP (£). Prices exclude VAT where applicable; VAT is added at checkout based on your billing address.
- Auto-renewal. Subscriptions auto-renew on each monthly anniversary until cancelled.
- Cancellation. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the paid period — no pro-rated refund for the unused portion of the current period, but no further charges.
- Failed payment. If a renewal payment fails, we will retry over 7 days and email you. If still unpaid after 7 days, delivery is paused; after 30 days, the subscription cancels.
- Refunds. We do not offer refunds for satisfaction reasons, given the free pilot. We will refund a payment that we agree was charged in error.
- Price changes. We may change subscription prices on 30 days' written notice. You may cancel before the change takes effect.
5. Data licence — what you may do with Leads
We grant you a non-exclusive, non-transferable, revocable licence to use the Leads we deliver to you, solely:
- To contact the UK companies or their officers for legitimate business-to-business communication relating to lending or financial services products you provide;
- To import Leads into your own CRM and use them for your sales operations;
- For internal analytics about your sales pipeline.
You must not:
- Resell, sublicense, redistribute, or publish the Leads or any derivative dataset to any third party;
- Use the Leads to send any communication that is unlawful, misleading, or non-compliant with the Privacy and Electronic Communications Regulations 2003 (PECR) or UK GDPR;
- Combine the Leads with any other dataset in a way intended to re-identify private individuals not acting in a business capacity;
- Use the Leads to enrich a competing commercial dataset offered for sale;
- Scrape, mirror, or systematically download the Service beyond your subscribed delivery volume.
The licence terminates automatically when your subscription ends. You may retain Leads already delivered for your own contact-record purposes, subject to your own UK GDPR obligations as their controller.
6. Your responsibilities as a controller
You are an independent data controller of any Lead data you import into your systems. You are responsible for:
- Your own Legitimate Interest Assessment (LIA) and Privacy Notice describing how you use the Leads;
- Honouring opt-out / objection requests from any UK director or company you contact;
- Compliance with PECR rules on B2B electronic marketing and any applicable telephone preference rules;
- Compliance with FCA rules to the extent your activities are FCA-regulated. Borrowsignal is a data provider only and is not authorised by the FCA.
7. Acceptable use of the Service
You must not:
- Use the Service to violate any law or third-party right;
- Attempt to gain unauthorised access to other customers' data;
- Interfere with, probe, or attempt to disrupt the Service;
- Share your account credentials with anyone outside your organisation;
- Use the Service to harass or defame any UK company or officer.
We may suspend or terminate accounts that breach these rules without refund.
8. Service availability
We target 99% monthly uptime for the dashboard and 99% on-time delivery of daily Lead cohorts. We are not liable for missed deliveries caused by third-party outages (Companies House downtime, customer's CRM unavailable, etc.) but we will redeliver on the next cycle.
9. Intellectual property
All rights in the Service, the dashboard, the AI-generated outreach hooks, the scoring methodology and the website content remain with us. We grant you no rights in our brand or trademarks. You retain ownership of any data or filters you submit to configure your account.
10. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform under these Terms. This obligation survives termination for 3 years.
11. Warranties and disclaimers
We provide the Service "as is" and make no warranty that any specific Lead will result in a successful sale, that any phone number will be answered, or that any UK company will be a creditworthy borrower. We make no warranty of merchantability or fitness for any particular purpose beyond what is expressly stated in these Terms.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, consequential, special or punitive damages, or for loss of profits, revenue, goodwill, or anticipated savings.
Our total aggregate liability under these Terms in any 12-month period is capped at the fees you paid us in that 12-month period.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under UK law.
13. Indemnity
You will indemnify us against any claim arising from (a) your use of the Leads in breach of clause 5 or 6, (b) your own contact of UK directors in breach of PECR or UK GDPR, or (c) any product or service you sell using the Leads.
14. Term and termination
- These Terms continue while you have an active subscription or pilot.
- Either party may terminate for material breach uncured 14 days after written notice.
- On termination, your dashboard access ends and your data is deleted according to our Privacy Policy.
15. Changes to these Terms
We may update these Terms by emailing the address on your account at least 14 days before any material change. Continued use after that date is acceptance. Non-material changes (typos, clarifications) take effect on posting.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may bring proceedings to protect our intellectual property anywhere appropriate.

18. Miscellaneous
- If any clause is unenforceable, the rest stands.
- No waiver is implied by failure to enforce.
- You may not assign these Terms without our consent; we may assign on notice in connection with a business reorganisation.
- These Terms (with the Privacy Policy and, for Enterprise, the DPA) are the entire agreement between us.
